Terms of Use

1. Introduction

Lodomi is an online marketplace platform that connects people who want to lend items they own with people who want to borrow them. Lodomi Ltd. is a federal corporation registered in the Province of British Columbia, Canada.

By accessing or using the Lodomi platform (including our website and any associated services), you agree to be bound by these Terms of Use and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use the platform.

2. Eligibility

To use Lodomi, you must:

• Be at least 18 years of age;
• Be legally capable of entering into binding contracts under the laws of your province or territory;
• Be a resident of Canada; and
• Not have had a previous account suspended or terminated by Lodomi for a violation of these Terms.

By using Lodomi, you represent and warrant that you meet all of the eligibility requirements set out above.

3. Lodomi Is a Marketplace Facilitator

All rental and lending agreements are entered into directly between the lender and the borrower. Lodomi's role is limited to providing the technology that allows users to find one another and communicate.

Specifically, Lodomi:

• Does NOT inspect, verify, or warrant any item listed on the platform;
• Does NOT vet, screen, background-check, or guarantee any user's identity, trustworthiness, or reliability;
• Does NOT guarantee that any listed item is as described, safe, or fit for any particular purpose;
• Does NOT guarantee the performance of any user or the completion of any transaction.

Users transact entirely at their own risk.

4. User Accounts

When you create an account on Lodomi, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your account information;
• Keep your password confidential and not share it with any third party;
• Notify us immediately of any unauthorized use of your account;
• Be responsible for all activity that occurs under your account.

Lodomi reserves the right to suspend or terminate accounts that contain inaccurate information or that have been used in violation of these Terms.

5. Obligations of Lenders

If you list an item for rent or loan on Lodomi, you agree to:

• Provide accurate, complete, and honest descriptions of your items, including their condition;
• Set honest and accurate pricing;
• Only list items that you own or have explicit legal authorization to lend;
• Ensure that any item you list is safe for its intended use and complies with all applicable laws;
• Honour agreed lending arrangements and make items available as described;
• Not list prohibited items (see Section 9).

6. Obligations of Borrowers

If you borrow an item through Lodomi, you agree to:

• Return the item in the same condition in which you received it, subject to ordinary wear and tear;
• Use the item only for its intended purpose and in a manner consistent with the lending agreement;
• Be fully responsible for any damage to, loss of, or theft of the borrowed item during the borrowing period;
• Return the item by the agreed date and time;
• Pay all agreed fees and any costs arising from damage or loss.

7. Fees and Payments

Lodomi charges a service fee for transactions facilitated through the platform. The service fee is payable by the borrower. The applicable fee amount and any applicable taxes are displayed within the platform before a transaction is confirmed. By confirming a transaction, the borrower agrees to pay the service fee and any taxes shown.

You acknowledge and agree that:

• The service fee, together with any taxes that apply to it (such as GST, HST, or applicable provincial sales tax), is payable to Lodomi as indicated at the time of the transaction; non-payment of amounts owed to Lodomi may result in suspension or termination of your account;
• If a transaction is not completed due to the fault of the borrower, the service fee is non-refundable in whole or in part;
• Each user is separately responsible for determining, collecting, and remitting any taxes (including applicable sales taxes and income taxes) arising from their own lending or borrowing activity; Lodomi does not collect or remit such taxes on behalf of users;
• Because rental payments are made directly between users, any dispute over payment, non-payment, or a security deposit is solely between those users (see Section 17);
• You may not circumvent Lodomi service fees by arranging or completing a transaction off-platform after it has been initiated through Lodomi.

8. Your Content and Intellectual Property

"Your Content" means any content you submit to the platform, including item listings, search posts, descriptions, photographs, and messages.

You retain ownership of Your Content. By submitting Your Content to Lodomi, you grant Lodomi a non-exclusive, royalty-free, worldwide licence to host, store, reproduce, adapt for display, publish, and distribute that content for the purposes of operating, promoting, and improving the platform. This licence ends when Your Content is removed from the platform, except that residual copies may remain in backups or where retention is required as described in our Privacy Policy.

You represent and warrant that you own Your Content or are otherwise authorized to submit it, and that Your Content does not infringe the intellectual property, privacy, or other rights of any third party.

The Lodomi platform — including its software, design, text, graphics, the Lodomi name, and the Lodomi logo — is the property of Lodomi Ltd. or its licensors and is protected by Canadian and international intellectual property laws. These Terms do not grant you any right to use Lodomi's name, logo, or trademarks.

9. Prohibited Items

The following items may NOT be listed on Lodomi under any circumstances:

• Firearms, weapons, ammunition, and related accessories;
• Items that are illegal to possess, sell, or transfer under Canadian federal or provincial law;
• Controlled substances and drugs;
• Hazardous, toxic, or dangerous materials;
• Living things, including animals and plants;
• Items that you do not own or do not have the legal right to lend;
• Stolen goods or items obtained through unlawful means;
• Items that infringe on intellectual property rights, including counterfeit goods;
• Adult or sexually explicit material.

Lodomi reserves the right to remove any listing it determines, in its sole discretion, to be inappropriate or in violation of these Terms.

10. Insurance

Neither lenders nor borrowers should assume that Lodomi provides any form of insurance coverage for items listed or transacted through the platform. Users are solely responsible for:

• Obtaining their own appropriate insurance coverage (such as home, renters, or standalone item insurance) before lending or borrowing items;
• Verifying with their own insurer whether lending or borrowing activity is covered under their existing policies;
• Any financial loss, damage, or liability arising from any transaction.

Lodomi makes no representation, warranty, or guarantee regarding insurance coverage for any item lent or borrowed through the platform.

11. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, the Released Parties shall NOT be liable for any claim, loss, damage, cost, or expense of any kind arising out of or in connection with any item listed, lent, or borrowed through the Lodomi platform, including but not limited to:

• Any personal injury, bodily harm, illness, or death suffered by any person, whether a user of the platform or a third party not connected to any transaction;
• Any damage to, destruction of, or loss of real or personal property belonging to any person, including but not limited to buildings, structures, vehicles, watercraft, roads, land, waterways, and infrastructure;
• Any damage to or harm suffered by any animal (wild or domestic), plant, tree, waterway, soil, ecosystem, or other element of the natural environment, including flora and fauna of any kind;
• Any damage to, loss of, or theft of any item listed or transacted on the platform;
• Any dispute between users regarding items, condition, agreements, or payments;
• Any manufacturing defect, design flaw, failure to warn, or other product liability of any kind arising from any item;
• Any failure of a user to meet their obligations under a lending agreement;
• Any indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of revenue, loss of profits, loss of business, or loss of goodwill.

The Released Parties make no warranty, express or implied, as to the fitness, safety, merchantability, condition, or suitability for any purpose of any item listed or transacted on the platform.

Where liability cannot be excluded under applicable law, the total liability of the Released Parties to you shall be limited to the lesser of: (a) the fees actually paid by you to Lodomi in connection with the relevant transaction; or (b) one hundred Canadian dollars ($100 CAD).

12. Assumption of Risk

You acknowledge and agree that:

• You assume all risks inherent in listing, lending, borrowing, transporting, storing, or using any item transacted through the platform;
• Physical items, when introduced into the real world, may cause harm to persons, property, animals, plants, and the environment, and you accept full and sole responsibility for all consequences of your use of any item;
• Lodomi is not able to inspect, evaluate, or verify the safety, condition, or fitness of any item listed on the platform, and you must independently assess these matters before entering into any transaction;
• You are solely responsible for obtaining all licences, permits, certificates, insurance coverage, and regulatory approvals required by applicable federal, provincial, or municipal law for your intended use of any borrowed item, including but not limited to vehicle operator's licences, equipment certifications, and liability insurance;
• Borrowing an item does not transfer to you any rights, warranties, or product guarantees that may exist between the item's owner and its manufacturer.

13. Manufacturer Independence

Specifically:

• Lodomi makes no representation, warranty, or guarantee regarding the design, construction, materials, safety standards compliance, or fitness for any purpose of any item listed on the platform;
• Any claim arising from a manufacturing defect, design flaw, failure to warn, or inadequate instructions must be pursued directly against the manufacturer, designer, distributor, or supplier of the item and not against Lodomi;
• By using the platform, you release the Released Parties (as defined in Section 11) from any and all claims, losses, or liabilities arising from or related to any alleged manufacturing defect, design defect, or failure of any item;
• You agree to indemnify and hold the Released Parties harmless from any claim brought against Lodomi that alleges, in whole or in part, manufacturer, designer, distributor, or supplier liability arising from an item transacted through the platform.

14. Third-Party Harm and Environmental Responsibility

You acknowledge that the use of a borrowed item in the physical world may affect persons, property, animals, plants, and ecosystems that are not party to any transaction on the Lodomi platform.

You agree that you are solely responsible for all harm — including personal injury, death, property damage, damage to real property (including but not limited to buildings, structures, fences, vehicles, watercraft, and infrastructure), harm to domestic or wild animals, damage to or destruction of plants, trees, or other vegetation, harm to waterways, soil, or other elements of the natural environment, and environmental contamination — caused to any person or thing as a direct or indirect result of your possession or use of any item borrowed through the platform.

You further agree to:

• Comply with all applicable federal, provincial, and municipal laws and regulations governing the use of any borrowed item, including without limitation the Canadian Environmental Protection Act, 1999, the Species at Risk Act, the Fisheries Act, and applicable provincial environmental, wildlife, and occupational health and safety legislation;
• Promptly report to the relevant authorities any incident involving environmental harm or harm to wildlife arising from your use of a borrowed item;
• Cooperate fully with any governmental investigation or regulatory proceeding arising from your use of a borrowed item.

Lodomi shall have no responsibility or liability for any environmental remediation costs, wildlife habitat restoration costs, penalties imposed by governmental or regulatory authorities, or any other costs, fines, or damages arising from harm caused to the natural environment, any species, or any person or property by reason of a user's possession or use of any item obtained through the platform.

15. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties (as defined in Section 11) from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your use of the Lodomi platform;
• Any item you list, lend, or borrow;
• Any transaction you enter into with another user;
• Your violation of these Terms;
• Your violation of any applicable law or the rights of any third party;
• Any personal injury (including death) or property damage caused to any person or entity — including bystanders and persons entirely unconnected to any transaction — arising from your possession or use of any item transacted through the platform;
• Any damage to real property, including but not limited to buildings, structures, vehicles, watercraft, infrastructure, land, or waterways, caused by your use of any item;
• Any harm to animals, plants, trees, waterways, soil, ecosystems, or other elements of the natural environment arising from your possession or use of any item;
• Any claim brought by or on behalf of a governmental body, regulatory authority, or municipality arising from your use of any item, including environmental penalties and remediation orders;
• Any claim alleging product liability, manufacturing defects, or design defects brought against Lodomi in connection with an item transacted through the platform; or
• Any claim brought against Lodomi by or relating to the manufacturer, designer, distributor, or supplier of any item transacted through the platform.

This indemnification obligation survives the termination or expiration of your account and these Terms.

16. Mutual Release Between Users

By entering into any transaction through Lodomi (whether as lender or borrower), each party to that transaction agrees to release, remise, and forever discharge the other party from all claims, demands, actions, and causes of action arising from or related to the physical condition of the item lent or borrowed, its fitness for any particular purpose, its performance or failure to perform during the borrowing period, or any harm caused to persons or property arising from the item's use during the borrowing period.

This mutual release:

• Does not apply to claims arising from fraud, intentional misconduct, or wilful neglect by either party;
• Does not relieve the borrower of their obligation under these Terms to return the item in the condition received (subject to ordinary wear and tear) or to compensate the lender for damage, loss, or theft;
• Does not relieve either party of any legal obligation owed to third parties; and
• Is entered into directly between users; Lodomi is not a party to this release, does not mediate or enforce its terms, and assumes no responsibility for its interpretation or application.

Both parties acknowledge that by using Lodomi and entering into transactions, they are voluntarily assuming the risks associated with the lending and borrowing of physical items.

17. Disputes Between Users

Any dispute arising between users regarding an item, its condition, a lending agreement, payments, or any other matter is solely between those users. Lodomi will not act as an arbitrator or mediator in financial or transactional disputes between users.

Lodomi may, at its sole discretion, suspend or terminate the accounts of users involved in repeated disputes or violations of these Terms.

18. Dispute Resolution with Lodomi

Any dispute, claim, or controversy between you and Lodomi Ltd. arising out of or relating to these Terms or your use of the platform shall be resolved by binding arbitration in the Province of British Columbia, in accordance with the Arbitration Act (British Columbia).

By using Lodomi, you waive any right to participate in a class action lawsuit or class-wide arbitration against Lodomi Ltd.

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.

19. Changes to These Terms

Lodomi reserves the right to update or modify these Terms of Use at any time. For material changes, we will notify you by requiring you to re-accept the updated Terms upon your next login. For minor changes, we may update these Terms without separate notification.

Continued use of the platform after any changes to these Terms constitutes your acceptance of the revised Terms.

20. Termination

Lodomi reserves the right to suspend or terminate your account and access to the platform, at any time, with or without notice, for any reason, including but not limited to a violation of these Terms.

You may close your account at any time by contacting us at info@lodomi.com.

21. General Provisions

Entire agreement. These Terms of Use, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Lodomi Ltd. regarding your use of the platform, and supersede any prior agreements or understandings.

Severability. If any provision of these Terms is found by a court or tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed or read down to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

Consumer rights. Nothing in these Terms removes, limits, or excludes any right, warranty, or remedy that you may have under applicable consumer protection legislation that cannot lawfully be removed, limited, or excluded by contract.

No waiver. Lodomi's failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision later. No waiver of any term is effective unless made in writing.

Assignment. You may not assign or transfer your rights or obligations under these Terms without Lodomi's prior written consent. Lodomi may assign these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.
